These Terms of Use (“Terms”) govern your access to and use of MyUpsOnly.com and the MyUpsOnly platform, services, forms, campaign links, landing pages, communications tools, and related features (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. About MyUpsOnly

MyUpsOnly provides tools intended primarily for automotive professionals, including salespeople, dealerships, and related businesses.

Depending on the features available to your account, MyUpsOnly may allow users to create and manage:

  • Campaign links
  • Lead-generation forms
  • Landing pages
  • Customer and lead records
  • Campaign attribution and tracking
  • Appointment and follow-up workflows
  • Communications
  • Dealer or CRM integrations
  • Other sales and marketing tools

Features may change, be added, or be removed over time.

2. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a binding agreement to create or use a MyUpsOnly account.

You are responsible for:

  • Providing accurate account information
  • Maintaining the confidentiality of your login credentials
  • Activity performed through your account
  • Keeping your contact and business information current
  • Promptly notifying us if you believe your account has been compromised

You may not share login credentials in a manner that circumvents account limits or user permissions.

3. User Responsibility for Leads and Campaigns

MyUpsOnly provides tools for creating and managing lead-generation campaigns. You are responsible for the campaigns, content, advertisements, offers, claims, and communications you create or distribute using the Services.

You agree that your use of MyUpsOnly will comply with applicable laws, regulations, advertising requirements, dealership policies, and third-party platform rules.

You are responsible for ensuring that:

  • Your advertising claims are truthful and not misleading
  • Required disclosures are provided
  • You have permission to contact leads
  • You honor opt-out and unsubscribe requests
  • Your use of customer information is lawful
  • Any dealership or employer approvals required for your campaign have been obtained

MyUpsOnly does not independently verify every statement or offer created by users.

4. Lead Ownership and Dealer Relationships

MyUpsOnly may support different campaign ownership and lead-routing arrangements.

Depending on how a campaign is configured, a lead may be associated with an individual salesperson, dealership, business, campaign sponsor, or other authorized party.

Where a dealership funds or owns a campaign, leads may be transmitted to that dealership or its CRM.

Where an individual user creates or funds a campaign, leads may remain within that user’s MyUpsOnly account unless the user chooses, or is required, to transmit them to a dealership or other system.

Users are responsible for complying with any employment agreements, dealership policies, customer-data rules, or other obligations governing the leads they collect.

MyUpsOnly does not determine disputes between salespeople, dealerships, employers, or third parties concerning ownership of a customer relationship or lead.

5. Communications, Calls, Email, and Text Messaging

MyUpsOnly may provide or integrate with email, telephone, SMS, MMS, or other communications services.

If you use these features, you are responsible for obtaining any consent required by law before contacting a person.

You agree to comply with applicable communications laws and regulations, including laws governing:

  • Telephone solicitation
  • Text messaging
  • Automated communications
  • Email marketing
  • Do-not-call requirements
  • Opt-outs and unsubscribe requests
  • Call recording and monitoring

You may not use MyUpsOnly to send spam, deceptive messages, unlawful solicitations, or communications to individuals who have withdrawn consent.

Third-party carriers, messaging providers, and communications platforms may impose additional requirements, fees, or restrictions.

6. Prohibited Uses

You may not use MyUpsOnly to:

  • Violate any law or regulation
  • Commit fraud or misrepresent your identity
  • Send spam or unauthorized marketing
  • Harass, threaten, or abuse another person
  • Upload malware or attempt to interfere with the Services
  • Access another user’s account without authorization
  • Scrape, copy, reverse engineer, or misuse the platform
  • Circumvent security or access controls
  • Falsify campaign attribution or lead information
  • Collect information for an unlawful purpose
  • Use the Services in a manner that could damage MyUpsOnly, its users, customers, vendors, or partners

Unless a feature expressly states that it is designed to securely handle such information, you should not use MyUpsOnly to collect or store highly sensitive information such as Social Security numbers, passwords, bank credentials, or complete payment-card information.

7. Customer and Lead Information

You may only upload, import, access, or use customer information that you are legally permitted to possess and process.

You retain responsibility for information you submit to MyUpsOnly.

You grant MyUpsOnly permission to process, store, transmit, and otherwise use that information as reasonably necessary to provide the Services.

MyUpsOnly does not acquire ownership of your customer or lead information merely because it is stored within the platform.

Our handling of personal information is also governed by our Privacy Policy.

8. Third-Party Services and Integrations

MyUpsOnly may connect with or rely upon third-party services, including:

  • CRM systems
  • Dealer management systems
  • Email providers
  • Telephone and messaging providers
  • Analytics platforms
  • Advertising platforms
  • Website hosting providers
  • Scheduling systems
  • Automotive technology providers

Third-party services are governed by their own terms and privacy policies.

We are not responsible for the availability, performance, policies, actions, or failures of third-party services.

An interruption or change to a third-party service may affect MyUpsOnly functionality.

9. Fees and Subscriptions

Certain MyUpsOnly features may require payment.

Pricing, billing periods, included features, and applicable usage charges will be disclosed when you subscribe or purchase a service.

If you purchase a recurring subscription, it will renew according to the billing cycle shown at the time of purchase unless canceled in accordance with the applicable subscription terms.

You are responsible for applicable taxes and third-party usage charges associated with your account.

We may change pricing for future billing periods by providing reasonable notice.

10. Intellectual Property

MyUpsOnly, its software, branding, designs, systems, workflows, logos, documentation, and original content are owned by or licensed to ITWORKEDFORUS and are protected by applicable intellectual-property laws.

These Terms do not transfer ownership of MyUpsOnly intellectual property to you.

You may use the Services only for their intended business purposes.

Content you create and upload remains yours, subject to the rights necessary for us to host, display, process, transmit, and operate that content through the Services.

11. Availability and Changes to the Services

We work to keep MyUpsOnly available and functioning, but we do not guarantee uninterrupted or error-free operation.

The Services may occasionally be unavailable due to:

  • Maintenance
  • Software updates
  • Hosting issues
  • Third-party outages
  • Telecommunications failures
  • Security incidents
  • Events outside our reasonable control

We may modify, improve, replace, suspend, or discontinue features when reasonably necessary.

12. No Guarantee of Sales or Business Results

MyUpsOnly provides sales, marketing, lead-management, and communication tools.

We do not guarantee:

  • A specific number of leads
  • Appointments
  • Vehicle sales
  • Revenue
  • Advertising performance
  • Customer response rates
  • Financing approval
  • CRM acceptance
  • Any particular business outcome

Results depend on numerous factors outside our control, including advertising, inventory, pricing, market conditions, lead quality, follow-up, dealership processes, and user performance.

13. Disclaimer of Warranties

To the extent permitted by law, the Services are provided on an “as is” and “as available” basis.

We disclaim warranties that the Services will always be uninterrupted, error-free, secure, or suitable for every particular purpose.

Nothing in these Terms excludes warranties that cannot legally be excluded.

14. Limitation of Liability

To the maximum extent permitted by applicable law, ITWORKEDFORUS, MyUpsOnly, and their owners, employees, contractors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the Services.

This includes losses arising from:

  • Lost leads
  • Lost sales
  • Lost profits
  • Data loss
  • Failed communications
  • Third-party outages
  • Advertising performance
  • CRM or integration failures

Where liability cannot legally be excluded, our liability will be limited to the extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless ITWORKEDFORUS, MyUpsOnly, and their owners, employees, contractors, and service providers from claims, damages, liabilities, costs, and expenses arising from:

  • Your use of the Services
  • Your campaigns or advertisements
  • Your communications with customers or leads
  • Your violation of these Terms
  • Your violation of applicable law
  • Content or information you submit through the Services
  • Your infringement of another person’s rights

16. Suspension or Termination

We may suspend or terminate access to MyUpsOnly if we reasonably believe that:

  • You violated these Terms
  • Your account poses a security risk
  • Your activity may violate applicable law
  • Your account is being used fraudulently
  • Required fees remain unpaid
  • Continued service could harm MyUpsOnly or another party

You may stop using the Services at any time.

Termination does not eliminate obligations that arose before termination.

17. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Services will be handled in an appropriate court located in Minnesota, unless applicable law requires otherwise.

18. Changes to These Terms

We may update these Terms as MyUpsOnly develops or legal and business requirements change.

Updated Terms will be posted on MyUpsOnly.com with a revised effective date.

Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
